Manager Terms of Service
Effective Date: April 23, 2026
These Manager Terms of Service ("Agreement") constitute a legally binding contract between you, the Manager or Administrator ("Manager," "you," or "your"), and Quilt Thrift Optimization LLC, doing business as TrueTag ("Company," "we," "us," or "our"). By creating a Manager account or accessing the TrueTag dashboard, you agree to be bound by this Agreement. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.
IF YOU DO NOT AGREE TO THESE TERMS, DO NOT CREATE AN ACCOUNT OR USE THE SERVICES.
1. The TrueTag Platform
TrueTag is a SaaS platform that provides AI-assisted pricing suggestions for second-hand goods. Managers access the platform through a web-based dashboard to configure pricing parameters, manage Volunteer users, and review store analytics. The platform is operated from:

2. Manager Account
2.1 Eligibility
To create a Manager account, you must be at least 18 years of age and have legal authority to enter into this Agreement on behalf of your organization. Manager accounts are intended for store administrators, supervisors, and authorized store personnel.
2.2 Registration
You may register using your email address (with one-time passcode authentication) or via Google Single Sign-On (OAuth). You agree to provide accurate, current, and complete registration information and to update it promptly if it changes.
2.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at truetagforthrift@gmail.com if you suspect any unauthorized access to your account. We are not liable for losses caused by unauthorized use of your account resulting from your failure to maintain credential security.
3. Subscription and Payment
3.1 Service Tiers
TrueTag is offered in tiered subscription plans. Each plan defines the maximum number of Volunteer users permitted to access the Pricing Page simultaneously ("Concurrent User Limit"). When the limit is reached, additional Volunteers are blocked from the Pricing Page until an active session ends. No additional charges apply for blocked users. You are responsible for selecting a plan that meets your store's operational needs.
3.2 Payment
Subscription fees are billed monthly on a recurring basis through Stripe, Inc. By subscribing, you authorize us to charge your designated payment method on a recurring basis without requiring prior approval for each charge. All payments are in U.S. dollars. We accept Visa, Mastercard, American Express, and Discover.
3.3 Cancellation
You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for unused time remaining in a billing period. Questions about billing may be directed to truetagforthrift@gmail.com.
3.4 Price Changes
We may change subscription pricing at any time with reasonable prior notice communicated to the email address associated with your account. Your continued use of the Services after a price change takes effect constitutes acceptance of the new pricing.
3.5 Payment Processing
Payment processing is handled by Stripe, Inc. Your use of Stripe's services is subject to the Stripe Services Agreement (stripe.com/legal/ssa) and Stripe's Privacy Policy. We do not store full payment card numbers or CVV on our servers.
4. Manager Dashboard Features
As a Manager, you may access the following features, subject to your subscription tier:

Setting and adjusting pricing parameters for your store, including percentage-of-market multipliers and category minimum prices

Viewing aggregate and individual Volunteer activity metrics, including items priced, session duration, processing times, and pricing outputs

Reviewing Volunteer-uploaded images and associated pricing data

Managing Volunteer access, including creating, approving, and disabling Volunteer accounts

Viewing historical transaction data and analytics dashboards
We reserve the right to expand, modify, or discontinue any dashboard feature with reasonable prior notice.
5. Volunteer Management Responsibilities
5.1 Store PIN
Volunteer access is granted via a store-issued PIN combined with the Volunteer's display name. You are solely responsible for:

Maintaining the confidentiality of your Store PIN

Distributing the PIN only to individuals authorized to use the Services on behalf of your store

Promptly resetting the PIN if it is disclosed to unauthorized individuals or if a Volunteer's authorization ends

All activity conducted through any session initiated using your store's PIN, whether or not that activity was authorized by you
We have no liability for unauthorized use arising from your failure to maintain PIN confidentiality.
5.2 Minor Volunteers
Thrift stores frequently engage volunteers under the age of 18, including individuals as young as 13. You agree that, before issuing a Store PIN to any Volunteer who is a minor (under 18 years of age), you will:

Confirm that the Volunteer is at least 13 years of age. You may not issue a Store PIN to any individual under 13. The TrueTag mobile app will prompt users to confirm they are 13 or older, but age verification is ultimately your responsibility at the organizational level

Obtain documented consent from the Volunteer's parent or legal guardian and retain a copy of that consent

Ensure that the minor's use of the app is directly supervised by you or another adult affiliated with your store
The TrueTag dashboard will display a reminder of this obligation when you approve a Volunteer account. By clicking to approve a Volunteer, you represent that you have complied with these requirements for that individual. We are not responsible for unauthorized use of the Services by a minor resulting from your failure to obtain the required consent.
5.3 Volunteer Notification
Before issuing a Store PIN to any Volunteer, you are responsible for informing that Volunteer that:

Their display name, session activity, and uploaded photographs will be visible to you as Manager through the TrueTag dashboard

Uploaded photographs are retained by TrueTag indefinitely and used to train TrueTag's AI models

Photographs are processed in real time by a third-party AI API (OpenRouter/Gemma) under Zero Data Retention settings
-
Automatic face-blurring technology is applied to all photographs before storage
6. Intellectual Property
6.1 TrueTag Platform
All intellectual property rights in the TrueTag platform, including source code, algorithms, software, user interface, trademarks, and marks, are owned by Quilt Thrift Optimization LLC. This Agreement grants you a limited, non-exclusive, non-transferable, revocable license to access and use the dashboard solely for your store's internal business purposes. You may not copy, reverse-engineer, decompile, or create derivative works from any part of the platform.
6.2 Uploaded Content
TrueTag claims ownership of all photographs and associated data uploaded to the platform through Volunteer accounts associated with your organization. By using the Services, you grant TrueTag a perpetual, irrevocable, worldwide, royalty-free license to retain, use, and process all uploaded content as described in the TrueTag Volunteer & Mobile App Privacy Policy and Terms of Service. You represent and warrant that you have obtained all necessary consents from Volunteers (including parental consents for minors) to authorize this use.
6.3 Pricing Outputs
Pricing suggestions generated by TrueTag are proprietary outputs of TrueTag's AI system. You may use pricing outputs for internal store operations but may not share, commercialize, or disclose pricing algorithms, configurations, or strategies to competitors or third parties.
7. Pricing Recommendations Disclaimer
Pricing recommendations generated by TrueTag are AI-assisted suggestions only. They are not professional appraisals, guarantees of resale value, or representations of fair market value. Final pricing authority rests solely with your store. We make no warranty, express or implied, regarding the accuracy, completeness, or commercial suitability of any pricing recommendation. YOUR RELIANCE ON ANY PRICING RECOMMENDATION IS AT YOUR SOLE RISK.
Pricing recommendations are derived in part from third-party data sources, including eBay market data. We have no affiliation with eBay and do not guarantee the accuracy or availability of external market data.
Manager-configured pricing parameters (multipliers, minimums) are your responsibility. We make no representation that your configurations will produce commercially optimal, legally compliant, or otherwise appropriate pricing for any given item or jurisdiction.
8. Prohibited Activities
As a Manager, you agree not to:

Use Volunteer data for any purpose other than legitimate store management

Share, sell, or disclose Volunteer personal information to third parties without authorization

Use the platform to harass, surveil, or harm any Volunteer

Issue Store PINs to individuals you know or have reason to believe are under the age of 13

Misrepresent your organization or the intended use of the Services

Attempt to reverse-engineer, scrape, or extract TrueTag's pricing algorithms or AI models
-
Share pricing strategies, AI outputs, or platform access with competitors
-
Use the platform for any unlawful purpose or in violation of applicable law
-
Create multiple Manager accounts to circumvent plan limitations
9. Data and Privacy
Your use of the TrueTag dashboard is subject to the TrueTag Manager & Administrator Privacy Policy, which is incorporated into this Agreement by reference. You are also responsible for your own compliance with applicable privacy laws when you access and process Volunteer data through the dashboard.
10. Term and Termination
This Agreement remains in effect for as long as your Manager account is active. Either party may terminate this Agreement at any time. You may terminate by closing your account; we may terminate by suspending or deleting your account. We may terminate or suspend your account immediately, without notice or liability, for breach of this Agreement or applicable law. Upon termination, your right to access the dashboard ceases. Data retention following termination is governed by the Manager Privacy Policy.
11. Modifications to Services
We reserve the right to modify, update, or discontinue any part of the Services at any time with reasonable prior notice. We have no liability for any modification, suspension, or discontinuance of the Services.
12. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO TRUETAG IN THE THREE (3) MONTHS PRECEDING THE CLAIM OR (B) $1,000.00 USD. IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14. Indemnification
You agree to defend, indemnify, and hold harmless Quilt Thrift Optimization LLC and its officers, agents, and employees from any claim, loss, damage, or expense (including reasonable attorneys' fees) arising from: (1) your use of the Services; (2) your breach of this Agreement; (3) your violation of any applicable law; (4) your failure to obtain required parental consent for minor Volunteers; or (5) your misuse of Volunteer personal data.
15. Governing Law and Dispute Resolution
15.1 Governing Law
This Agreement is governed by the laws of the State of Michigan, without regard to conflict-of-law principles.
15.2 Informal Resolution
Before initiating any formal proceeding, the parties agree to attempt to resolve any dispute informally for at least thirty (30) days by written notice to truetagforthrift@gmail.com.
15.3 Binding Arbitration
If informal resolution fails, disputes shall be resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA), conducted in Kent County, Michigan. Class actions and representative proceedings are waived. YOU WAIVE YOUR RIGHT TO A JURY TRIAL.
15.4 Exceptions
Claims for injunctive relief or to protect intellectual property rights may be brought in state or federal courts in Kent County, Michigan, and both parties consent to the jurisdiction of those courts.
16. Digital Millennium Copyright Act (DMCA)
16.1 Reporting Infringement
We respect the intellectual property rights of others. If you believe that material available on or through the TrueTag platform infringes a copyright you own or control, please submit a written notification to our Designated Copyright Agent containing the following information, as required by DMCA 17 U.S.C. § 512(c)(3):

A physical or electronic signature of a person authorized to act on behalf of the copyright owner

Identification of the copyrighted work claimed to have been infringed
-
Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate it

Your contact information (name, address, telephone number, and email address)
-
A statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law
-
A statement, made under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner
Please be advised that you may be held liable for damages if you make material misrepresentations in a DMCA notification.
16.2 Counter Notification
If you believe material was removed from the Services as a result of mistake or misidentification, you may submit a written counter notification to our Designated Copyright Agent. To be effective, your counter notification must include: (1) identification of the material that was removed and where it appeared before removal; (2) a statement that you consent to the jurisdiction of the Federal District Court for the district in which your address is located; (3) a statement that you will accept service of process from the party that submitted the original notification; (4) your name, address, and telephone number; (5) a statement under penalty of perjury that you have a good faith belief the material was removed by mistake or misidentification; and (6) your physical or electronic signature.

17. Miscellaneous
This Agreement constitutes the entire agreement between you and TrueTag with respect to your Manager account and supersedes all prior communications. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver. We may assign this Agreement without your consent. You may not assign it without our written consent.
